About the Opportunity

Our client, a highly regarded mid-sized Toronto law firm, is seeking a technically skilled Insolvency & Restructuring Lawyer with 2–5 years of post-call experience in Ontario to join their team.

The successful candidate will handle a broad range of insolvency, restructuring, and related commercial litigation matters, advising both debtor- and creditor-side clients on complex, multi-party proceedings. This is an opportunity to build deep expertise in a sophisticated practice involving court-driven restructurings, distressed transactions, and security enforcement.

Key Responsibilities

Insolvency & Restructuring Advisory

  • Provide strategic legal advice on BIA and CCAA proceedings, receiverships, bankruptcies, and proposals.
  • Advise on secured and unsecured creditor rights, enforcement remedies, and priority disputes.
  • Structure and implement corporate workouts, distressed M&A transactions, and restructuring plans.
  • Draft and negotiate complex agreements, including:
    • Forbearance agreements
    • DIP (Debtor-in-Possession) financing arrangements
    • Security and subordination agreements
    • Restructuring term sheets and implementation plans

Litigation & Court Proceedings

  • Draft, review, and argue motions, facta, affidavits, and other court materials in insolvency-related proceedings.
  • Represent clients before the Ontario Superior Court of Justice (Commercial List) in applications and motions under the BIA and CCAA.
  • Assist senior counsel with contested matters including claims disputes, priority contests, and fraudulent conveyance actions.
  • Coordinate with receivers, trustees, and monitor counsel on procedural and evidentiary matters.

Transactional & Financial Analysis

  • Review and analyze security documentation, loan agreements, and PPSA registrations to assess enforcement strategy.
  • Conduct due diligence on debtor assets, liabilities, and creditor claims.
  • Work with financial advisors and insolvency professionals to evaluate restructuring options and recovery scenarios.

Research, Strategy & Case Management

  • Conduct in-depth legal research on insolvency precedents, creditor remedies, and priority issues.
  • Manage files independently with minimal supervision while coordinating with multiple stakeholders.
  • Support partners in business development by preparing client memos, legal updates, and seminar materials on insolvency developments.

Qualifications

  • LL.B. or J.D., and member in good standing with the Law Society of Ontario.
  • 2–5 years of post-call experience, with a strong focus on insolvency, restructuring, bankruptcy, or commercial litigation.
  • Solid understanding of:
    • Bankruptcy and Insolvency Act (BIA)
    • Companies’ Creditors Arrangement Act (CCAA)
    • Personal Property Security Act (PPSA)
    • Ontario Rules of Civil Procedure
  • Proven experience drafting and arguing motions, preparing Commercial List materials, and managing complex multi-party proceedings.
  • Strong technical and analytical skills, including financial literacy to interpret balance sheets and creditor claims.
  • Proficiency with document management systems, e-discovery platforms, and court e-filing tools.
  • Excellent drafting, negotiation, and advocacy abilities with meticulous attention to procedural accuracy.
