Commercial Real Estate Associate

An established Toronto law firm is seeking a highly motivated Commercial Real Estate Associate with 3–5 years of experience to join its dynamic Commercial Real Estate Group. The successful candidate will handle a broad range of sophisticated real estate and development matters, including a unique opportunity to act for a court officer on a large-scale, complex real estate matter valued at approximately $1 billion.

This role involves working closely with senior counsel on all aspects of the transaction lifecycle, from structuring and due diligence to closing and implementation, while also managing discrete workstreams independently in a fast-paced environment.

Key Responsibilities

  • Draft, negotiate, and manage agreements for the acquisition, sale, and financing of commercial, industrial, and development properties.
  • Conduct and supervise comprehensive due diligence, including title and off-title searches, corporate and zoning reviews, and related transactional analysis.
  • Prepare and review closing documentation, statements of adjustments, and all conveyancing materials with a high degree of accuracy.
  • Advise institutional clients and court officers on complex real estate, corporate, and regulatory issues, demonstrating sound judgment and technical expertise.
  • Manage multiple active files, coordinate with opposing counsel, lenders, and governmental authorities, and ensure all deadlines and deliverables are met efficiently.

Required Skills and Qualifications

  • LL.B. or J.D. and a member in good standing with the Law Society of Ontario.
  • 3 to 5 years of direct post-call experience in commercial real estate law from a reputable firm.
  • Proven experience in acquisitions, dispositions, development transactions, and commercial financing.
  • Strong technical proficiency with title, land registration (Teraview), and corporate structuring issues.
  • Excellent drafting, analytical, and transactional management skills with a client-focused approach.
  • Experience with large-scale, complex transactions, particularly those involving court-appointed officers or insolvency proceedings.
  • Exposure to land development matters, including subdivision, condominium, and zoning by-law amendments.
